Assistant General Counsel, Capital Markets Legal

Upstart is seeking an Assistant General Counsel, Capital Markets Legal to partner with the capital markets team to structure securitization transactions, draft and negotiate transactional documents, and manage a team of attorneys. This role involves influencing internal and external stakeholders and creating internal legal education. The ideal candidate has a JD, 12 years of experience in structured finance or debt finance, and prior experience managing a legal team.

What you'd actually do

  1. Partner closely with Upstart’s capital markets team to structure securitization transactions (including pass-throughs and asset-backed securitizations), complex purchase and sale agreement structures and other liquidity arrangements
  2. Review, draft and negotiate a variety of transactional documents opposite sophisticated institutional investors, including asset managers, private equity funds, hedge funds and pension funds
  3. Influence and marshall colleagues outside of the legal team and external parties to drive deals or projects to completion. Represent the legal team in high-level discussions with external parties, including outside counsel, auditors, regulators, and industry associations.
  4. Manage a team of five attorneys, some of whom are very senior. Anticipate and unblock obstacles for the team’s work.
  5. Create internal education on a variety of legal risks.
