Commercial Counsel - Data Centers

This role provides legal support for the development of data centers, focusing on large-scale infrastructure transactions, complex agreements, and negotiations related to power, construction, and financing. It requires extensive legal experience in commercial contracting and managing heavy workloads within a fast-paced environment.

What you'd actually do

  1. Lead negotiation and structuring of data center development deals, real estate transactions, capital equipment purchases, hardware and raw material procurement and much much more.
  2. Negotiate and manage power-related contracts: interconnection agreements, electricity service agreements, solar project deployments, sustainable storage system transactions, power purchase agreements (PPAs), behind-the-meter generation structures, gas supply / transport, water rights, and ERCOT/regulatory matters critical to hyperscale data center deployments.
  3. Draft, review, and negotiate construction contracts, engineering services for design-build, and related project documents for facilities involving insane amounts of power, absurd cooling systems, and advanced cabling and fiber get-ups, all in support of the world’s largest integrated GPU clusters .
  4. Support financing structures, tax incentives, complex lease arrangements, permitting activities, easement and land use transactions, and project finance elements that enable multi-billion-dollar-scale infrastructure investments.
  5. Partner closely with engineering, procurement, business development, and finance teams to align legal terms with technical and commercial requirements .

Skills

Required

  • Legal experience in commercial contracting
  • Experience with large scale infrastructure projects
  • Ability to manage heavy workload and prioritize
  • Strong negotiation and drafting skills
  • Familiarity with power-related contracts
  • Experience with construction contracts
  • Understanding of financing structures and tax incentives
  • JD from an accredited law school
  • Active bar membership in at least one U.S. state
