Salesloft is seeking a Commercial Counsel to review and manage complex commercial agreements, including sales contracts, vendor agreements, DPAs, AI Addendums, and NDAs. The role involves identifying contractual risks, advising on AI and technology development issues, and collaborating with internal teams to ensure compliance. The ideal candidate has 3-5+ years of experience negotiating SaaS and software licensing contracts, a J.D. degree, and strong analytical and negotiation skills.

What you'd actually do

  1. Review and manage to close a variety of complex commercial agreements, including sales contracts, inbound procurement engagements with vendors, master services agreements, DPAs, AI Addendums, NDAs, Statements of Work and Order Forms.
  2. Identify contractual risks and suggest alternatives that lead to optimal solutions.
  3. Analyze and advise on issues related to AI, technology development, SaaS licensing, strategic sourcing, software integrations, partnerships and general commercial contracting.
  4. Work cross-functionally with internal business teams, including Deal Desk, Sales, Procurement, Product and Finance teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk standards.
  5. Provide tactical and strategic advice to business and product leaders related to commercial transactions.

Skills

Required

  • 3-5+ years of experience negotiating SaaS, software licensing and commercial contracts, including master subscription agreements, DPAs, AI documentation, NDAs and vendor contracts.
  • J.D. degree from an accredited law school.
  • Active membership in a United States bar, or otherwise qualified to be a registered in-house counsel under California’s multi-jurisdictional practice program.
  • Excellent analytical, communication, organizational, negotiation and drafting skills, as well as experience negotiating complex IP and data privacy terms with enterprise customers.
  • Excellent legal and business judgment, critical thinking and the ability to manage multiple matters simultaneously.
  • Smart, independent thinking with an adaptive and flexible mindset.
  • Detail-oriented and enjoys end-to-end project management.
  • Ability to understand complex contractual issues, assess risk, and provide pragmatic, business-based recommendations to all levels of management.
  • Experience working with enterprise level Sales teams to meet end of quarter deadlines.
  • Experience with cloud-based business models and the contracting paradigms to support such business models.
