This role is for a Consultant on the Contracts team at Carta, an AI-native ecosystem for private capital. The consultant will manage the full lifecycle of commercial contracts for clients, acting as a direct day-to-day contact for sophisticated investment fund and asset manager clients. The role involves negotiating pre-M&A contracts, maintaining client playbooks, collaborating with junior legal staff, and contributing to the continuous improvement of Carta's AI-backed legal technology suite. The company uses AI-backed tools including its proprietary platform, Ava, to support the team.

What you'd actually do

  1. Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
  2. Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
  3. Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
  4. Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
  5. Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

Skills

Required

  • 6-8+ PQE
  • independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
  • experience working with asset managers, investment banks, or other financial services firms
  • Law Degree and licensed to practice in any APAC Jurisdiction
  • based in APAC time zone
