This role is for a Corporate Counsel focusing on subsidiary management within Microsoft's legal department. The responsibilities include providing legal advice on corporate governance, subsidiary structures, funding, and lifecycle activities. A key aspect is partnering with various internal teams and leveraging AI-enabled tools to improve legal work and efficiency. The role requires a Juris Doctor degree and active law license, with preferred experience in multinational companies and using AI in legal practice.

What you'd actually do

  1. Provide legal advice and support on corporate governance matters affecting Microsoft’s global subsidiaries and corporate structure.
  2. Support a range of subsidiary management matters, including complex governance and compliance issues across jurisdictions, dividend planning and execution, subsidiary funding (including datacenter funding), and legal entity integrations and terminations.
  3. Partner with Tax, Treasury, Corporate Accounting, and other CELA teams, as well as regional counsel, to support governance decisions and execution.
  4. Draft, review and manage intercompany agreements, partnering with cross-functional stakeholders, and leveraging AI-enabled tools and workflows to support standardization, efficiency, and scalability across Microsoft’s global subsidiary structure.
  5. Apply technology, including AI, to improve legal work and efficiency.

Skills

Required

  • Juris Doctor Degree or international equivalent degree
  • 1+ year(s) experience as a practicing attorney
  • Active license to practice law in a jurisdiction
