This role is for an Assistant General Counsel within JPMorgan Chase's Debt Capital Markets (DCM) Legal team. The primary responsibility is to provide legal advice on syndicated and leveraged lending transactions, ensuring compliance with laws and regulations. The role involves advising on deal structuring, documentation, risk assessment, and collaborating with business, risk, and compliance teams. Experience with lending, finance transactions, and regulatory matters is required, with a preference for experience with legal technology and AI tools in financial services.

What you'd actually do

  1. Advise the North America DCM lending business on commercial lending transactions, including large syndicated credit facilities (leveraged and investment grade), direct lending, and club-deal facilities.
  2. Advise on how transactions are structured and work with outside counsel on loan and syndication documentation and related transaction materials.
  3. Escalate and communicate potential concerns to Legal, Compliance, and control functions, ensuring appropriate risk identification and mitigation.
  4. Advise on new product development and assess marketing, regulatory, and related issues impacting financial institutions in multi-state and international environments.
  5. Partner with Credit Risk, Operations, and Compliance to address transactional, operational, and regulatory risk and control issues.

What the JD emphasized

  • 5+ years of relevant lending/finance transactional experience at a law firm and/or in-house legal department at a large bank or financial services company.
  • Licensed attorney and member in good standing in the jurisdiction where the role is located, or otherwise compliant with applicable in-house counsel registration rules prior to start date.
  • Strong background in secured lending and syndicated leveraged finance transactions, including up-to-date working knowledge of UCC Articles 8 and 9 and their application to secured lending structures and collateral packages.
  • Proven ability to prioritize effectively, manage high volumes of issues, complex matters and multiple concurrent workstreams in a fast-moving environment.
  • Strong analytical skills with the ability to spot issues early, propose solutions, and exercise sound judgment.
