Director, Stock Administration

Okta is seeking a Director of Stock Administration to manage the end-to-end administration of the company's equity plans, including grants, exercises, ESPP, and special projects. This role requires managing international compliance, partnering with cross-functional teams for accurate processing and reporting, ensuring regulatory compliance for SEC filings, and managing trading plans. The position also involves creating stock reports, conducting analysis, administering equity compensation according to plan terms, managing the quarterly calendar, developing educational materials for employees, and improving stock administration processes through automation and system enhancements. The role will also participate in M&A equity assumptions and assist with proxy filings.

What you'd actually do

  1. Manage international compliance
  2. Partner with other functional leads (including in Legal, HR, Payroll, Accounting and Finance) to develop processes which ensure the accuracy of all equity data including all aspects of record-keeping, withholding, reporting, reconciliation and auditing. Ensure proper taxation is applied to all equity exercises and releases
  3. Ensure regulatory compliance for Section 16 executive and Board members and assist in the preparation of SEC Form filings
  4. Manage the reporting, reviewing, and tracking of 10b5-1 trading plans
  5. Lead and assist with ad-hoc projects

Skills

Required

  • Minimum of 9 years of stock administration experience
  • Outstanding analytical, communication and organizational skills.
  • Excellent business judgement, strategic thinking and ability to manage multiple priorities.
  • Detail oriented with a high degree of accuracy.
  • Ability to inspire action and coordinate simultaneous initiatives.
  • Must be a dependable teammate, ready to collaborate with multiple cross-functional partners (ie. Finance, Legal, HR, and external vendors)
  • Ability to work in fast-paced environment, manage competing priorities, efficiently prioritize tasks, and adhere to critical deadlines
  • Affinity for customer service, demonstrating excellent oral and written communication skills
  • Confident working with various levels of management and handling highly confidential data
  • Knowledge of regulatory and compliance matters related to equity programs and taxation
  • Advanced Excel user (i.e. pivot tables, xlookup, vlookup)

Nice to have

  • CEP designation preferred or willing to complete within 18 months
