Legal Counsel - Commercial

This role is for a Legal Counsel focused on commercial contracts within an AI company. The primary responsibilities include drafting, structuring, and negotiating complex agreements with customers and partners, advising leadership on legal matters, and developing legal operations processes. The role requires experience in tech transactions, software licensing, and strategic partnerships.

What you'd actually do

  1. Lead the drafting, structuring, and negotiating of complex commercial contracts with a diverse range of customers and partners from automotive OEMs, Autonomous Vehicle (AV) startups, and other players in the AV ecosystem
  2. Be a trusted advisor to the leadership team on legal matters critical to the growth of the business
  3. Collaborate cross-functionally with multiple stakeholders (e.g., Sales,Finance, Product, Engineering, etc.) to lead key initiatives
  4. Support or activities related to IP, Product, and Compliance as needed
  5. Create forms, playbooks, and training to improve consistency, execution speed, risk mitigation, and scalability

Skills

Required

  • J.D. degree from an accredited law school and active membership in one state bar
  • 5+ years' of experience with the activities described above
  • Experience structuring, drafting and negotiating complex commercial agreements, including software licenses, strategic partnerships, and joint development agreements
  • Experience negotiating and drafting IP and material contracts representations in stock purchase, merger, and asset purchase agreements in financings
  • Demeanor to thrive in a fast-paced sales focused environment, requiring exceptional organizational skills, juggling priorities, and adhering to strict deadlines
  • Ability to travel (up to 20%)
