Manager, M&a Finance and Integration

Manager role in Uber's M&A Finance and Integration team, responsible for pre-sign financial diligence, structuring, negotiations, and post-close integration of acquired businesses from a finance and accounting perspective.

What you'd actually do

  1. Identify, evaluate and solve issues throughout the deal life-cycle starting from pre-sign due diligence to post-close integration of acquired businesses
  2. Analyze the financial and operational performance of target companies by reviewing accounting records and other documentation, and by conducting discussions with the target’s management team; prepare presentation decks summarizing key findings and present them to senior leaders
  3. Participate in purchase agreement negotiations including providing perspectives on working capital, indebtedness, and other purchase price adjustments
  4. Understand business and technology integration plans, assess the impact on Uber’s finance organization and finance integration strategy
  5. Manage end-to-end finance integration projects, including the development of detailed project plans and coordination of day-to-day execution activities, monitoring project progress, identifying and resolving potential risks and issues

Skills

Required

  • BS/BA in finance, accounting, or related field
  • 7+ years of experience in finance, accounting, advisory, or consulting roles
  • CPA designation or equivalent
  • Strong knowledge of US GAAP, particularly in areas such as Revenue Recognition, Business Combinations, and VIE accounting
  • Strong financial and analytical skills with advanced Excel proficiency
  • Excellent verbal and written communication skills, with the ability to distill complex issues and communicate with senior stakeholders
  • Experience leading complex projects and managing multiple stakeholders

Nice to have

  • Prior experience in a Big 4 financial due diligence or deal advisory practice
  • 3+ years of experience supporting M&A transactions, including financial due diligence experience
  • Ability and willingness to mentor and support the development of junior team members, contributing to team growth
  • Familiarity with enterprise systems such as Oracle (or willingness to learn)
