This role is for a Principal Corporate Counsel to support Microsoft Federal's sales organization, focusing on legal, contractual, policy, compliance, and regulatory aspects of software, cloud computing, devices, and professional services for U.S. Government customers. It involves advising on cutting-edge issues related to cloud computing and artificial intelligence at the intersection of technology, business, and law, and requires a U.S. Government Secret Security Clearance.

What you'd actually do

  1. Providing comprehensive legal guidance and government transactional sales and procurement support- both direct and indirect through Microsoft partners - to the Microsoft Federal business related to complex cloud computing, devices and professional services agreements with the U.S. Government;
  2. Providing advice and guidance on rapidly changing privacy, cybersecurity, national security, homeland security, and technology policy, government procurement and other regulatory and policy issues impacting the sale of Microsoft products and the delivery of services to government customers;
  3. Providing legal advice and counsel on national security, classified matters, governance, and compliance issues arising from engagements involving emerging technologies such as artificial intelligence (including machine learning and cognitive services), quantum computing, augmented reality, and other similar technologies involving the Intelligence Community, Department of Defense and related organizations;
  4. Providing comprehensive legal guidance and support to business clients related to government data rights, bid protests, NDAs, FOIA, intellectual property, trade/ITAR, foreign military sales, teaming and partner agreements, small business subcontracting, competition law, ethics and compliance, privacy law, dispute resolution and corporate citizenship.

Skills

Required

  • Juris Doctor Degree or international equivalent degree
  • 4+ years experience as a practicing attorney
  • Active license to practice law in a jurisdiction
  • capable of meeting admission requirements in relevant jurisdiction
  • Security Clearance Requirements

Nice to have

  • Experience supporting complex transactions (i.e. outsourcing, large multi-faceted deals, regulated transactions)
  • Experience with cloud computing, generative and traditional AI, and their related legal issues
  • Strong knowledge of Federal procurement regulations
  • Demonstrated experience with negotiation and legal drafting for complex deals
  • Track record of legal analysis and consideration of business goals, risk tolerance, compliance, and stakeholder priorities
  • Demonstrated client and end customer focus
  • Demonstrated experience partnering with cross-functional teams to solve complex issues and collaborate to generate consensus across diverse points of view
  • Experience working in an agile environment and openness to adapt practice in response to evolving business strategies and transformation
  • Track record of project management skills and the ability to work efficiently and meet deadlines in the face of competing priorities
