This role is for a Senior Associate Lawyer at Carta, focusing on managing commercial contracts for clients in the venture capital and private equity space. The role involves negotiating contracts, serving as a client contact, and contributing to the improvement of legal technology, including AI-backed tools. While the role utilizes AI tools, it does not involve building or developing AI/ML models.

What you'd actually do

  1. Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
  2. Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
  3. Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
  4. Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
  5. Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

  • Familiarity with financial services industry expectations
  • Law Degree
  • Licensed to practice law in the Americas (US/Canada)
  • Comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
  • Self-starter
  • Ability to prioritize effectively
  • Proactive in seeking improvements and innovation
