Senior Corporate Counsel specializing in commercial transactions for a SaaS company that utilizes AI/ML and generative AI features. The role involves drafting, reviewing, and negotiating commercial agreements, partnering with go-to-market teams, and advising on legal risks related to AI and data privacy. Experience with AI/SaaS regulatory requirements and AI contract review tools is preferred.

What you'd actually do

  1. Draft, review, and negotiate commercial agreements end-to-end with customers and partners for PagerDuty’s SaaS offerings, including products utilizing machine learning and generative AI features
  2. Assist in the development of contract templates, standard methodology processes, playbooks, and automation across the entire contract's life cycle, as needed, including leveraging Legal AI tools to optimize deal velocity and contracting workflows
  3. Partner with the go-to-market sales, services, and channel partner teams as a trusted advisor on all customer and deal-related matters
  4. Communicate complex matters clearly and solve problems practically
  5. Liaise with cross-functional business units (like finance, sales operations, security, product, support, and privacy) when needed to align on requested contractual terms and conditions that impact our business

Skills

Required

  • Juris Doctor degree from accredited law school; admitted to and in good standing with California or other State Bar Association
  • At least 9 years of broad-based technology transactional experience across multiple business lines and jurisdictions
  • Extensive experience drafting, reviewing, negotiating, and advising on different types of commercial transactions, including SaaS sales, reseller, strategic partnerships, consulting partnerships, licensing agreements, and statements of work
  • Experience collaborating with other cross-functional teams supporting Sales, communicating and explaining business risks, and drafting language to reflect business stakeholder approvals and feedback
  • Highly responsive with a service-oriented attitude
  • Expertise in balancing risk, and other legal requirements to safeguard PagerDuty’s interests/values, while ensuring revenue efforts are fully supported
  • Collaborative teammate with the ability to work independently, drive results, and maintain a professional and calm demeanor

Nice to have

  • Experience supporting a global sales organization, supporting international transactions, and negotiating across time zones
  • Experience in public sector contracting, providing legal expertise in working with U.S. Federal and SLED end-user customers and system integrators a plus
  • Previous working experience with sales operations, finance, and operations on deal velocity projects such as contract lifecycle management (CLM) implementation, evaluation of generative AI contract review tools, new templates, and sales training
