This role is for a Senior Counsel, Commercial - AMER at ClickHouse, a cloud company specializing in real-time analytics, data warehousing, observability, and AI workloads. The lawyer will support the Americas sales team by reviewing and negotiating customer agreements and providing legal counsel for revenue-generating activities. Responsibilities include contract review, cross-border transactions, advising on regulatory developments, and training internal stakeholders. The role requires a law degree, at least 7 years of experience in commercial software and SaaS agreements, and strong understanding of related legal issues.

What you'd actually do

  1. reviewing and negotiating ClickHouse’s customer contracts
  2. providing pragmatic, sound legal counsel
  3. Lead complex cross-border transactions with sophisticated counterparties located across multiple jurisdictions
  4. Monitor and advise on relevant regulatory, compliance or legal developments impacting the business in the Americas region, and partner with the broader Legal team and cross-functional stakeholders where required
  5. Provide training and enablement to internal stakeholders on legal issues and contract processes

Skills

Required

  • Law degree and member in good standing in at least one U.S. state bar
  • Minimum 7 years’ experience practicing both with a law firm and in-house at a high growth technology company
  • Exceptional academic performance and training, including law degree from a highly ranked law school (e.g., Top 30) and/or experience at a top-tier law firm in the technology space
  • Proven experience drafting, negotiating and closing complex commercial software and SaaS agreements with enterprise customers, partners, and resellers across multiple jurisdictions
  • Strong understanding of commercial legal issues related to SaaS and software licensing (i.e., data privacy, security, intellectual property, open-source, revenue recognition, and tax), professional services and other go-to-market programs (such as partner/reseller programs)
  • Excellent judgement, strong business orientation and ability to translate legal risk into practical commercial advice within the context of business objectives
  • Strong interpersonal, communication, and management skills; ability to build trust and strong relationships with ClickHouse’s sales team, cross-functional stakeholders, and ClickHouse’s customers
  • Exceptional attention to detail, strong organisational skills with ability to manage multiple priorities and meet deadlines in a high-growth environment
