This role is for a Senior Counsel, Corporate at Attentive, an AI marketing platform. The position requires leading securities laws matters, corporate governance, M&A, fundraising transactions, and managing corporate entities. The ideal candidate will have at least 6 years of legal experience, preferably in high-growth venture-backed companies, with deep expertise in US Securities law and corporate governance.

What you'd actually do

  1. Lead all areas related to the company’s securities laws matters and related compliance, including IPO readiness, investor relations, proxy management, and SEC reporting and disclosures as needed
  2. Design and implement the policies, procedures and controls required for corporate legal compliance, including corporate governance programs
  3. Support corporate secretary function – draft corporate governance materials, including resolutions, minutes, and other materials for meetings of the board and its committees
  4. Oversee the company’s equity plan
  5. Support the execution of M&A and fundraising transactions

Skills

Required

  • Juris Doctor degree and qualified to practice law in-house
  • At least 6 years of legal experience
  • Deep experience with US Securities, including SEC reporting, securities law compliance and corporate governance
  • Structuring and negotiating M&A and financing transactions
  • Managing subsidiaries

Nice to have

  • preferably at or representing successful, high-growth venture-backed companies
  • In-house experience at a hyper-growth late-stage startup is preferred
