This role is for a Senior Counsel, M&A at Superhuman, an AI productivity platform. The primary focus is on leading M&A transactions, including structuring, negotiation, due diligence, and post-closing integration. The role also involves supporting general corporate transactions, governance, and investor relations. The ideal candidate will have extensive experience in M&A, a strong legal background, and the ability to collaborate cross-functionally.

What you'd actually do

  1. Collaborate cross-functionally across the company at every level on M&A, strategic transactions, and investor-related matters.
  2. Structure, conduct, and manage legal due diligence, engaging internal and external partners when necessary to ensure alignment
  3. Draft, negotiate, socialize, and review transaction documents
  4. Lead deal execution logistics, including managing post-closing integration and compliance efforts
  5. Support, as a secondary responsibility, corporate governance matters, including corporate entity management, new entity development and implementation, equity program strategic planning, insurance, and board-related matters

Skills

Required

  • JD and admitted to the bar
  • License to practice law in at least one US state
  • 10+ years of experience in M&A, strategic investments, due diligence, and integration
  • Experience at a top-tier law firm
  • Solid in-house experience
  • Experience supporting finance and investor relations at a high-growth technology company
  • Experience driving alignment on complex, cross-functional projects
  • Excellent time management skills
  • Ability to independently own end-to-end deal processes
  • Ability to work with cross-functional teams
  • Ability to advise senior leaders
  • Clear and empathetic communication (face-to-face and written)
