This role is for a Senior Counsel, Technology Transactions at Agility Robotics, a company that deploys humanoid robots. The role involves assisting with commercial contracting and deal execution across the full lifecycle of the humanoid robotics business, working closely with various internal teams to structure, negotiate, and close deals. The position requires experience in drafting and negotiating commercial, supply/manufacturing, and technology licensing agreements, with a focus on hardware, robotics, or technology companies. It also involves advising on IP, risk management, and supporting commercial launches and novel deal structures for bleeding-edge autonomous robotic systems.

What you'd actually do

  1. Draft, review, and negotiate a wide range of commercial agreements, including customer agreements, pilot and deployment agreements, and licensing agreements,
  2. Partner with Sales and Business Development to structure deal terms that balance business objectives with legal risk.
  3. Negotiate supply, manufacturing, and component sourcing agreements with domestic and international vendors.
  4. Structure and negotiate technology licensing, joint development, and IP assignment agreements.
  5. Advise on limitation of liability, indemnification, warranty, and insurance provisions across commercial agreements.

Skills

Required

  • Juris Doctor (JD) or equivalent law degree
  • Active and in good standing bar membership
  • 6–10+ years of post-qualification legal experience as a transactional attorney
  • Demonstrated experience drafting and negotiating commercial, supply/manufacturing, and technology licensing agreements
  • Strong deal-structuring experience
  • Experience with corporate transactions, including financings, joint ventures, M&A, and strategic partnerships
  • Familiarity with intellectual property, licensing, export control, and international commercial law considerations
  • Proven business judgment and ability to provide solution-oriented legal advice
  • Ability to manage ambiguity, prioritize competing demands, and create structure in fast-moving environments
  • Strong communication and stakeholder management skills
